AGREEMENT TO TERMS
By purchasing a subscription plan or using the GoodBidders service ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our Service.
1. SERVICE DESCRIPTION
1.1 What We Provide
GoodBidders provides a B2B SaaS platform that offers:
- Inventory scanning and sorting services
- Mobile application for product barcode scanning
- Web dashboard for inventory management
- Automated listing creation on multiple marketplaces (eBay, Amazon, Home Depot, Target, Walmart, etc.)
- Photo capture and management
- Real-time data synchronization
- Product information lookup and auto-fill
1.2 Service Availability
We strive to provide 99.9% uptime, but the Service is provided "as is" and we do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be announced in advance when possible.
2. SUBSCRIPTION PLANS & PRICING
2.1 Available Plans
We offer the following subscription plans:
- FREE Plan: $0/month forever, 50 products per month, mobile app access, basic features, no credit card required
- Starter Plan ($29.99/month): 150 products per month, Amazon barcode scanning, instant eBay listing, mobile app (iOS & Android), photo storage & management, basic analytics, email support
- Growth Plan ($44.99/month): 250 products per month, Amazon + Home Depot support, instant eBay listing, mobile app, bulk photo downloads, advanced analytics & reports, priority email support
- Professional Plan ($149.99/month): 1,000 products per month, 3 user accounts, collage maker tool, bulk processing tools, API access, phone support, custom reporting
- Business Plan ($399.99/month): 3,000 products per month, 10 user accounts, Shopify integration, custom warehouse system, inventory management, dedicated account manager, training & onboarding
- Enterprise Plan ($3,999.99/year): 40,000 products per year, unlimited user accounts, white-label options, custom workflows, 24/7 premium support, dedicated success team, SLA guarantees
2.2 Billing Cycle
All paid plans are billed monthly in advance on the date you subscribe. Your billing date will be the same each month.
2.3 Product Limits
- Product limits reset on the first day of each billing cycle
- Unused products do not roll over to the next month
- Exceeding your product limit will result in service restrictions until you upgrade or wait for the next billing cycle
3. PAYMENT TERMS
3.1 Payment Methods
We accept payment via credit cards (Visa, Mastercard, American Express), debit cards. Payment processing via Stripe.
3.2 Automatic Renewal
Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method for renewal.
3.3 Failed Payments
If payment fails:
- We will attempt to charge your payment method up to 3 times
- You will receive email notifications
- Your account may be suspended after 7 days of non-payment
- Your account will be downgraded to FREE plan after 14 days of non-payment
4. CANCELLATION & REFUNDS
4.1 Cancellation Policy
You may cancel your subscription at any time through your account dashboard or by contacting support at [email protected] or calling (480) 665-2955.
4.2 30-Day Money-Back Guarantee
First-time subscribers may request a full refund within 30 days of initial purchase.
- Refund request must be submitted to [email protected]
- Refunds processed within 5-10 business days
- Applies only to first month of service
- Account will be downgraded to FREE plan after refund
4.3 No Refunds After 30 Days
No refunds for renewal payments, partial months, or unused products in your limit. Exceptions may be made at our sole discretion for extenuating circumstances.
5. USER ACCOUNTS & RESPONSIBILITIES
5.1 Account Creation
You must:
- Provide accurate and complete information
- Be at least 18 years old or have parental consent
- Represent a legitimate business entity
- Maintain the security of your account credentials
- Notify us immediately of unauthorized access
5.2 Prohibited Uses
You may NOT:
- Share your account credentials with unauthorized users
- Use the Service for illegal purposes
- Upload malicious code or viruses
- Attempt to reverse engineer or hack the Service
- Resell or redistribute the Service without authorization
- Use automated bots or scrapers to extract data
- Violate any marketplace policies (eBay, Amazon, etc.)
- Submit false, misleading, or fraudulent product information
6. DATA & PRIVACY
We collect and process your data to provide the Service. See our separate Privacy Policy for full details on how we handle your personal information.
7. MARKETPLACE INTEGRATION
7.1 Third-Party Services
GoodBidders integrates with third-party marketplaces (eBay, Amazon, Home Depot, Target, Walmart, etc.). You are responsible for:
- Complying with each marketplace's terms of service
- Maintaining active accounts on those platforms
- Any fees charged by those platforms
- Any violations or issues with those platforms
7.2 Listing Accuracy
While we strive for accuracy, you are responsible for verifying product information before listing, ensuring compliance with marketplace policies, and monitoring your listings for errors.
8. LIMITATIONS OF LIABILITY
8.1 Service Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not warrant that the Service will be uninterrupted or error-free, defects will be corrected, or results will meet your expectations.
8.2 Limitation of Damages
To the maximum extent permitted by law, GoodBidders shall not be liable for loss of profits, revenue, or business opportunities; loss of data; indirect, incidental, or consequential damages; or damages exceeding the amount you paid in the last 12 months.
9. SUPPORT & MAINTENANCE
9.1 Support Availability
- FREE Plan: Email support (48-hour response time), knowledge base access
- Paid Plans: Email support (24-hour response time), priority support queue, phone support
- Business & Enterprise Plans: Dedicated support, 4-hour response time, account manager

10. MODIFICATIONS TO TERMS
We may modify these Terms at any time. Changes will be posted to this page with a new "Last Updated" date and sent via email. Continued use after 30 days constitutes acceptance.
11. DISPUTE RESOLUTION
11.1 Governing Law
These Terms are governed by the laws of the State of Arizona, United States.
11.2 Arbitration
Any disputes will be resolved through binding arbitration rather than court, except small claims court matters (under $10,000) and intellectual property disputes.
